If you submit information (forms, calculator inputs, scheduling info), you agree that:
- the information is accurate to the best of your knowledge,
- you have the right to provide it,

4. Reports, estimates, and disclaimers
Calculator outputs, ROI figures, "payback," and reports are estimates based on your inputs and our assumptions. They are directional and do not guarantee outcomes.
Results depend on many factors including lead quality, sales cycle length, adoption, tooling, data hygiene, compliance requirements, and market conditions. You are responsible for decisions made based on these estimates.
5. Diagnostic calls and consultations
Any "free diagnostic call" or consultation is informational. It does not create a fiduciary relationship, and does not constitute legal, accounting, or financial advice.

Your use of third-party services (e.g., CRM, WhatsApp/email providers, calling tools, notetakers) is governed by their terms and policies. OrionAI is not responsible for third-party products, outages, policy changes, or platform restrictions.
If we assist with integrations, you are responsible for ensuring you have appropriate permissions, licenses, and compliance approvals.
7. Intellectual property
All content, software, designs, trademarks, and materials provided by OrionAI are owned by OrionAI or its licensors and are protected by applicable laws.
You may not copy, modify, distribute, sell, or reverse engineer any part of the Services except as expressly permitted in writing.
8. Acceptable use
You agree not to:
- misuse the Services or interfere with their operation,
- attempt unauthorized access,
- use the Services for unlawful, deceptive, or harmful purposes,
- violate privacy, spam, or communications laws,
- upload malware or malicious code.
9. Payment terms (if applicable)
If you purchase paid services, you agree to the pricing, billing, and payment terms presented at purchase or in an order form / contract. Taxes may apply. Refunds/cancellations are governed by your order form or written agreement.
10. Confidentiality (for paid engagements)
For consulting/implementation engagements, confidentiality terms may be covered in a separate agreement (e.g., MSA/NDA). If no separate agreement exists, you agree not to share non-public materials we provide that are clearly marked or reasonably understood to be confidential.
11. Termination
We may suspend or terminate access to the Services if you violate these Terms or if required for security/legal reasons. You may stop using the Services at any time.
12. Warranty disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ORIONAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIONAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
IN NO EVENT WILL ORIONAI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO ORIONAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU PAID NOTHING), WHICHEVER IS GREATER.
14. Indemnification
You agree to indemnify and hold harmless OrionAI and its affiliates, officers, directors, employees, and agents from claims arising out of your misuse of the Services, violation of these Terms, or violation of applicable laws.
15. Governing law and venue
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Any disputes will be brought in the state or federal courts located in Delaware, unless otherwise required by law.
16. Changes to the Terms
We may update these Terms from time to time. Updated Terms will be posted with a new "Last updated" date.
